NUDGEO Terms of Service

NUDGEO Terms of Service — definitions, service provision, billing and refund policy, user obligations, company obligations, intellectual property, liability limits, governing law.

These Terms of Service govern your use of the Generative Engine Optimization SaaS platform (the “Service”) provided by NUDGEO (the “Company”). By subscribing to or using the Service, you agree to be bound by these Terms.

Section 1 — Definitions

  • Service — The AI answer tracking, content optimization, and automated publishing SaaS provided by NUDGEO.
  • Customer — Any individual or legal entity that agrees to these Terms and uses the Service.
  • Plan — A subscription tier offered by the Company: Starter, Professional, or Enterprise.
  • Entity — A brand-level unit tracked within the Service.

Section 2 — Service Description

The Company provides the following capabilities:

  1. Measurement of AI engine responses (ChatGPT, Claude, Gemini, Perplexity, and 5 additional engines).
  2. Content optimization and generation based on measurement results.
  3. Automated deployment to the NUDGEO Publishing Network.
  4. A measurement dashboard and reporting tools.

Section 3 — Fees and Payment

All payments are processed through AWS Marketplace. No separate credit card registration is required — charges are consolidated with your existing AWS bill. Applicable taxes are billed separately.

Refund policy by plan:

  • Starter — Full refund within 7 days (once per AWS account, with a 30-day cooldown).
  • Professional — Non-refundable.
  • Enterprise — Subject to individual contract terms.

Section 4 — Customer Obligations

Customers must not:

  • Share API keys or authentication credentials with third parties.
  • Use the Service in ways that circumvent rate limits or abuse automated tooling.
  • Input, generate, or publish content that infringes the rights of the Company or any third party.
  • Input, generate, or publish content that violates applicable law or public order.

Section 5 — Company Obligations

The Company will make reasonable efforts to provide a reliable Service and operate in accordance with agreed SLA targets. Enterprise plans carry a 4-hour SLA; all other plans are best-effort.

Section 6 — Intellectual Property

All intellectual property in the Service itself — including the dashboard, algorithms, and design — belongs to the Company. Content generated by the Customer through the Service remains the Customer's property. The Company may use such content solely for the purpose of delivering the Service.

Section 7 — Service Interruptions

The Company may temporarily suspend the Service in the following circumstances, with advance notice as a general rule:

  • Scheduled or unscheduled maintenance.
  • Force majeure events, network outages, or other circumstances beyond the Company's control.
  • Customer violation of these Terms (in which case suspension may be immediate).

Section 8 — Limitation of Liability

The Company's liability for direct or indirect damages arising from use of the Service is limited to the extent specified in these Terms or applicable law. The Company is not liable for outcomes attributable to factors outside its control, including AI model responses and third-party search engine indexing decisions.

Section 9 — Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Korea. Any disputes arising in connection with the Service shall be subject to the exclusive jurisdiction of the Seoul Central District Court as the court of first instance.

Section 10 — Amendments

The Company may amend these Terms at any time. Changes will be communicated at least 7 days in advance (or 30 days for changes materially adverse to Customers). Continued use of the Service after the effective date of an amendment constitutes acceptance of the revised Terms.
